Supplier Terms and Conditions
Suppliers Using the Transbidder Online Reverse-Auction Platform to Transport Machinery

These Terms and Conditions (“Supplier Terms”) govern your access to and use of the Transbidder online bidding platform (the “Platform”), operated by Transbidder (“Transbidder”, “we”, “us”, “our”). By registering, accessing, or using the Platform, you (“Supplier”, “you”, “your”) agree to these Supplier Terms.

1. Definitions
1.1 Bid means a price offer submitted by a Transporter for a listed Load.
1.2 Load means the machinery and/or equipment to be transported, as described by the Supplier on the Platform.
1.3 Transporter means a third-party transport service provider registered on the Platform.
1.4 Reverse Auction means the process where Transporters competitively submit Bids and the Supplier may select a Bid.

2. Registration and Account Security
2.1 To use the Platform, you must register an account and provide accurate, complete, and current information.
2.2 You are responsible for keeping your login credentials secure and for all activity under your account.
2.3 You must notify Transbidder immediately of any unauthorised access or security breach.

3. Platform Role and Reverse Auction Process
3.1 The Platform enables Suppliers to publish Loads and enables Transporters to submit Bids.
3.2 You may accept or reject any Bid in your sole discretion.
3.3 Transbidder is not a carrier and does not provide transport services. Transport services are performed by independent Transporters.

4. Accuracy of Load Information
4.1 You must provide accurate and complete Load details, including (where applicable):
machine type, make/model, dimensions, weight, attachments, and any load restrictions;
collection and delivery addresses and access constraints;
loading/offloading requirements, dates, and time windows.
4.2 If your information is inaccurate or misleading, this may lead to delays, additional costs, Bid withdrawal, or cancellation.
4.3 You remain responsible for any costs or consequences resulting from incorrect information supplied by you.

5. Contracting Structure (Important)
5.1 When you accept a Bid, you are entering into a transport arrangement with the selected Transporter for the physical movement of the Load.
5.2 Transbidder facilitates the transaction and provides the Platform, administration, and communication gateway.
5.3 Unless otherwise agreed in writing, Transbidder is not responsible for the Transporter’s performance, acts, omissions, delays, loss, theft, or damage.

6. Pricing, Fees, Invoicing and Payment
6.1 Platform / Administration Fees: Transbidder may charge fees/commission for facilitating awarded Bids (as displayed on the Platform or agreed in writing).
6.2 Invoices: Transbidder will invoice you for amounts payable to Transbidder, which may include (depending on your commercial setup):
the awarded Bid amount (transport cost), and/or
Transbidder’s commission/administration fees, and/or
any agreed add-ons (e.g., expedited handling, documentation services).
6.3 Payment Terms: Full payment is due within 14 (fourteen) days of date of Transbidder’s invoice, subject to credit approval where credit terms are granted.
6.4 Interest on Late Payment: Transbidder may charge interest on overdue amounts from 15 (fifteen) days after invoice date until paid in full, at the maximum rate permitted by law or, if none, a reasonable commercial rate.
6.5 Suspension for Non-Payment: Transbidder may suspend your access to the Platform and/or withhold confirmation/processing of awarded Loads where invoices are overdue.

7. Communication and Platform Messaging
7.1 Platform messaging must be used for operational communication and record-keeping.
7.2 You must not use the Platform to send unlawful, abusive, or misleading communications.

8. Supplier Responsibilities at Collection and Delivery
8.1 You are responsible for ensuring lawful possession/authority to request transport of the Load.
8.2 You must ensure suitable access, loading/offloading readiness, and that any required permits or authorisations (if under your control) are obtained.
8.3 Unless otherwise agreed, delays caused by the Supplier’s site readiness may result in additional charges by the Transporter.

9. Prohibited Conduct
You must not:
9.1 manipulate bidding, submit false Loads, or engage in collusion;
9.2 interfere with Platform operation, security, or integrity;
9.3 use the Platform for unlawful purposes or in breach of applicable regulations.

10. Intellectual Property
10.1 All Platform intellectual property (software, design, logos, trademarks, content) is owned by or licensed to Transbidder.
10.2 You receive a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose.

11. Disclaimer and Limitation of Liability
11.1 The Platform and all information are provided on an “as is” basis. Transbidder does not warrant uninterrupted availability, error-free operation, or that Bids will meet your expectations.
11.2 To the maximum extent permitted by law, Transbidder is not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits), arising out of or related to your use of the Platform or any Transporter services.
11.3 Where liability cannot be excluded by law, Transbidder’s liability is limited to the fees actually paid to Transbidder by you in the 3 months preceding the event giving rise to the claim.

12. Privacy and Data Protection
12.1 Transbidder collects and processes personal information in accordance with its Privacy Policy and applicable data protection laws (including POPIA where applicable).
12.2 By using the Platform, you consent to such processing.

13. Changes to these Terms
13.1 Transbidder may update these Supplier Terms from time to time by posting updated terms on the Platform.
13.2 Continued use after updates constitutes acceptance of the revised terms.

14. Governing Law and Jurisdiction
14.1 These Supplier Terms are governed by the laws of the jurisdiction where Transbidder is registered.
14.2 Disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

15. Severability, Entire Agreement, Waiver
15.1 If any provision is invalid/unenforceable, the remaining provisions remain in effect.
15.2 These Supplier Terms constitute the entire agreement between you and Transbidder regarding Platform use.
15.3 No waiver is effective unless in writing and signed by Transbidder.


POPIA Privacy Notice (Suppliers & Transporters)

1) Who we are (Responsible Party)
TransBidder (Pty) Ltd (“TransBidder”, “we”, “us”) operates an online platform that facilitates transport requests and reverse-auction style bidding for the movement of machinery and related loads (the “Platform”).

This POPIA Privacy Notice explains how we collect, use, store, share, and protect personal information of our Suppliers and Transporters, including transporter owners, directors, employees, drivers, subcontractors, and representatives (“you”).

2) What personal information we collect
Depending on your relationship with us, we may collect and process the following categories of personal information:

2.1 Identity & business details
Full names, ID/passport number (where required), company registration details, VAT number
Contact details (email, phone), physical/business address
Position/title and authorised representative details

2.2 Operational & compliance information
Driver details (name, licence type/number, PDP/PrDP where applicable)
Vehicle and trailer information, permits, licence discs, operator cards, roadworthy/compliance documents
Proof of insurance, safety files, induction records, certifications (where required)

2.3 Transaction & platform data
Bids submitted, pricing, job confirmations, proof of delivery (“PODs”), delivery notes, job status updates
Platform logins, audit trails, and communications via the Platform, WhatsApp, email and/or telephone

2.4 Financial & payment information
Banking details, payment references, invoices, statements
Tax-related details required for lawful processing (e.g., SARS-related information where applicable)

2.5 Technical and usage data
Device information, browser type, IP address, cookies (where enabled), and activity logs for security and performance

Special Personal Information: We generally do not require special personal information (e.g., medical information). If it becomes necessary (for example, due to site access requirements), we will only process it where lawful, strictly necessary, and with appropriate safeguards.

3) Where we get the information
We may collect personal information:
Directly from you (sign-up, onboarding, forms, email, WhatsApp, phone calls)
From your company (employer/mandate)
From clients/suppliers/OEMs when allocating work or verifying compliance
From lawful public sources and verification providers (where needed for compliance)

4) Why we process your information (Purposes)
We process your personal information to:
Register you on the Platform and manage your account
Enable bidding, job allocation, dispatching, and job completion
Verify compliance, safety, licensing, permits, and insurance requirements
Communicate about loads, access requirements, route constraints, and operational updates
Manage payments, invoicing, reconciliation, and recordkeeping
Prevent fraud, enforce Platform rules, and maintain audit trails
Comply with legal obligations (including tax, financial recordkeeping, and regulatory requirements)
Resolve disputes and support claims (including insurance and incident investigations)
Improve our Platform, services, and user experience

5) Lawful basis for processing (POPIA justification)
We process personal information on one or more lawful grounds, including:
Contractual necessity (to provide Platform services and fulfil transport engagements)
Legal obligation (recordkeeping, compliance, verification where required)
Legitimate interests (fraud prevention, security, platform integrity, service improvement)
Consent (where POPIA requires it, e.g., certain direct marketing or optional data)

6) How we share personal information
We may share your personal information only as necessary with:
Suppliers/OEMs/Clients that request transport services (for verification, access control, dispatching, and job execution)
Other Platform users where required to complete a transaction (e.g., job award details)
Service providers/operators such as hosting providers, email/communication tools, payment processors, verification vendors, IT support, and analytics providers (acting as “operators”)
Regulators, law enforcement, and courts where required by law or lawful request
Insurers and legal advisors for claims, disputes, or risk management

We do not sell personal information.

7) Cross-border transfers
If we use cloud services or operators outside South Africa, we will ensure that cross-border transfers occur only where appropriate safeguards consistent with POPIA are in place (including contractual protections and reasonable security standards).

8) Security safeguards
We implement reasonable technical and organisational safeguards to protect personal information, including:
Access controls (including role-based access where possible)
Secure hosting and encryption in transit where supported
Audit logs and monitoring
Password and account security measures
Staff/contractor confidentiality obligations

No system is 100% secure, but we take reasonable steps to prevent unauthorised access, loss, or misuse.

9) Data retention
We retain personal information only as long as necessary for the purposes set out above, including:
Active account and operational records: for the duration of the relationship
Financial and tax records: as required by law (typically several years)
Audit logs and security records: for reasonable periods to protect Platform integrity

When retention is no longer required, we securely delete, de-identify, or archive the information.

10) Your rights under POPIA
You have the right to:
Request confirmation whether we hold your personal information
Request access to your personal information
Request correction/update of inaccurate or incomplete information
Object to processing in certain circumstances
Request deletion where lawful and applicable
Withdraw consent where processing is based on consent (this may limit service delivery)
Lodge a complaint with the Information Regulator (South Africa)

11) Direct marketing
We will only send direct marketing communications where lawful and, where required, with your consent. You can opt out at any time by following unsubscribe instructions or contacting us.

12) Cookies and tracking
Our website/platform may use cookies or similar technologies for functionality, security, and analytics. You can manage cookie preferences via your browser settings (and cookie banners where implemented).

13) Subcontracting and third parties
If you subcontract or use drivers/employees, you confirm that you have lawful authority to share their personal information with TransBidder for onboarding, compliance, and job execution purposes, and that those data subjects have been informed of this Notice (or an equivalent privacy notice).

14) Breach notification
If there is a security compromise involving personal information, we will take reasonable steps to contain and investigate it and, where required, notify affected parties and/or the Information Regulator.

16) Changes to this Notice
